ONLINE BANKING AGREEMENT & DISCLOSURE

This Online Banking Agreement and Disclosure ("the Agreement") explains the terms and conditions governing the online banking services offered by Citizens Bank ("the Bank"). All online banking services of any kind whatsoever offered or afforded by the Bank, including, but not limited to funds transfer, loan payments, and ACH transaction, will be referred to collectively as "Online Banking Services" in this Agreement. By using any of the Online Banking Services, you agree to be bound by the terms and conditions contained in the Agreement, all applicable federal regulatory disclosures, and the New Account Disclosures. All applicable service fee schedules published by the Bank from time to time will apply to Online Banking Services. You are responsible for payment of any fees incurred by you on any account, for any service, at any time. You agree to pay such fees upon request of the Bank. Further, you agree to pay all fees incurred by you in accessing Online Banking Services. Your initial use of Online Banking Services in connection with your account(s) at the Bank constitutes your acceptance and agreement to be bound by all of the terms and conditions of this Agreement and of the New Account Disclosures. Such initial use acknowledges your receipt and understanding of this Agreement. There are no fees for accessing your account(s) through Online Banking Services. Other fees may apply to services conducted through Online Banking Services. If you need additional fee disclosures, please contact the Citizens Bank E-Commerce Department at 601-444-2432. The Bank is entitled to act upon instructions received through Online Banking Services under your password and without inquiring as to the identity of the person using that password. However, you agree that you will not, under any circumstances, disclose your password by telephone or any other means to any person. You are responsible for the safekeeping of your password. You acknowledge that no employee of the Bank will ever ask for your password and that Bank employees do not need and should not ask for your password. You agree never to provide your password to anyone, including anyone claiming to represent the Bank. You will be prompted from time to time to change your password for additional security. You agree that if you permit another person to use the service or give another person your Online Banking ID and password, you are responsible for all activity that person initiates even if he or she exceeds your authorization. You agree to notify the Bank immediately in the event that your password has been lost or stolen or has been otherwise compromised. At any time, you may ask the Bank to disable your password. For joint accounts, each person will have a separate Online Banking ID and password. Each person on a joint account will be liable for all transactions that are made on the account. Each person on a joint account authorizes all transactions made by any other person on the account. Each person on a joint account agrees to be liable for the actions of the other person(s) on the account. Citizens Bank reserves the right to terminate the use of Online Banking Services at any time without prior notice. The Bank may reinstate Online Banking Services at a later date at its discretion. This Agreement can be changed. When making changes, the Bank will comply with all legal notice requirements. If this Agreement is modified, your continued use of the account will represent your acceptance of such modifications.

BILL PAY AGREEMENT AND DISCLOSURE

This is your bill paying agreement with Citizens Bank. You may use the Citizens Bank bill paying service to direct Citizens Bank to make payments from your designated checking account to the Payees you choose in accordance with this agreement. The terms and conditions of this agreement are in addition to all other electronic banking agreements and terms and conditions, and the account agreements, disclosures and other documents in effect from time to time governing your account. Service Fees. Consumer Bill Pay - No Charge Business Bill Pay - $4.95 per month for 10 item and $.25 per item over 10 items For more information about fees, please contact the E-Commerce Department at (601) 444-2432. How to Set Up Payees/Payments. If you want to add a new PAYEE, select the Payee tab located in the service or speak to a service representative. You may add a new fixed payment to a Payee by accessing the service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the service. Citizens Bank reserves the right to refuse the designation of a Payee for any reason. You may pay any Payee within the United States (including U.S. territories and APO's/AEO's). Citizens Bank is not responsible for payments that cannot be made due to incomplete, incorrect, or outdated information. Bill Pay Process. Single Payments: A single payment will be processed on the business day (generally Monday through Friday, except certain holidays) that you designate as the payment's processing date, provided the payment is submitted prior to the daily cut-off time on that date. The daily cut-off time, which is controlled by Citizens Bank, is currently 2:00 p.m. CST. A single payment submitted after the cut-off time on the designated process date will be processed on the next business day. If you designate a non-business date (generally weekends and certain holidays) as the payment's processing date, the payment will be processed on the first business day following the designated processing date. Recurring Payments: When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a processing date is calculated for the next occurrence of the payment. If the calculated processing date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules: If the recurring payment's Pay Before option is selected, the processing date for the new occurrence of the payment is adjusted to the first business date prior to the calculated processing date. Note. If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for processing and that day does not exist in the month of the calculated processing date, then the last calendar day of that month is used as the calculated processing date. Single and Recurring Payments. The system will calculate the Estimated Arrival Date of your payment. This is only an estimate, so please allow ample time for your payments to reach your Payees. Cancelling a Payment. A bill payment can be changed or cancelled any time prior to the cutoff time on the scheduled processing date. Available. Please refer to the Bill Paying Process section of these terms and conditions for the daily cut-off time for Citizens Bank Bill Payer. Liability. You are solely responsible for controlling the safekeeping of and access to your password or Personal Identification Number (PIN). You will be responsible for any bill payment request you make that contains an error or is a duplicate of another bill payment. Citizens Bank is not responsible for a bill payment that is not made if you did not properly follow the instructions for making a bill payment. Citizens Bank is not liable for any failure to make a bill payment if you fail to promptly notify Citizens Bank after you learn that you have not received credit from a Payee for a bill payment. Citizens Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be Citizens Bank's agent. Amendment. Citizens Bank has the right to change this agreement at any time by notice mailed to you at the last address shown for the account on Citizens Bank's records, by posting notice in branches of Citizens Bank, or as otherwise permitted by law. Termination. Citizens Bank has the right to terminate this agreement at any time. You may terminate this agreement by written notice to Citizens Bank. Citizens Bank is not responsible for any fixed payment made before Citizens Bank has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by Citizens Bank on your behalf.
