E-Sign Disclosure and Consent

As part of your relationship with us, we want to ensure you have all of the information you need to effectively manage your accounts using our Electronic Services. Our goal is to provide you with as many options as possible for receiving your account documents. We are required by law to give you certain information “in writing” in connection with our Electronic Services – which means you are entitled to receive it on paper. We may provide this information to you electronically, instead, with your prior consent. We also need your general consent to use electronic records and signatures in our relationship with you. So, before you use our Electronic Services you must review and consent to the terms outlined below. PLEASE NOTE: Consenting to receive Communications under this Disclosure will not automatically enroll you in e-Statements.

“Communications” means each disclosure, notice, agreement, fee schedule, statement, record, document, consent, change-in-terms, and other information we provide to you, or that you sign or submit or agree to at our request.

“Electronic Service” means each and every product and service we or our service providers offer that you apply for, use, administer, or access using the Internet, a website, email, mobile device, messaging services (including text messaging), and/or software applications (including applications for mobile or hand-held devices), either now or in the future.

Scope of Communications to Be Provided in Electronic Form

You consent to use electronic records and signatures and to receive Communications electronically or in writing to the extent allowed by law. In our sole discretion, the Communications we provide to you, or that you sign or agree to at our request, may be in electronic form (“Electronic Records”). These Communications, include, but are not limited to: • All of the periodic account and activity statements, disclosures, and notices we provide to you concerning your WNB products;
• Privacy disclosures and notices. You also agree that we may provide you with an annual copy of our Privacy Policy by having it available for review at http://www.WNBFinancial.com/AboutUs/PrivacyandSecurity
• Any notice or disclosure regarding fees or assessments of any kind, including late fees, overdraft fees, and returned item fees;
• Other disclosures and notices that we are legally required to provide to you, or choose to provide to you in our discretion, in connection with your WNB products or our Electronic Services.

Method of Providing Communications to You in Electronic Form

All Communications that we provide to you in electronic form may be provided, but not limited to, (1) via email, (2) by access to a website that we will designate in an e-mail notice we send to you at the time the information is available, (3) to the extent permissible by law, by access to a website that we will generally designate in advance for such purpose, or (4) by requesting you download a PDF file containing the Communication.

Communications in Writing

All Communications in either electronic or paper format from us to you will be considered “in writing.” You should print or download for your records a copy of this Disclosure and any other Communication that is important to you.

We are required by law to give you certain Communications in writing (paper format), even with your consent. We will continue to deliver those Communications to you in writing (paper format). However, if the law changes and permits any of those Communications to be delivered electronically, this consent will automatically cover those as well.

Certain Communications required by law, or by our agreement with you, require you to give us a written notice. You must still provide these notices to us on paper, unless we tell you how you may deliver that notice to us electronically.

Requesting Paper Copies

We will not send you a paper copy of any Communication which is available electronically from WNB, unless you request it, or we otherwise deem it appropriate to do so. You can obtain a paper copy of any electronic Communication by printing it yourself, by calling us at either 800-546-4392 or 507-454-8800, or by contacting us in person at any WNB location. We may charge you a reasonable service charge for the delivery of paper copies of any Communications provided to you electronically. Please see your account opening disclosure for any fees that maybe applied. We reserve the right, but assume no obligation, to provide a paper (instead of electronic) copy of any Communication that you have authorized us to provide electronically.

How to Withdraw Consent

You may withdraw your consent to receive Communications in electronic form by calling us at either 800-546-4392 or 507-454-8800, by email at bankgeneral@WNBFinancial.com, or in person at any WNB location. At our option, we may treat your provision of an invalid e-mail address, or the subsequent malfunction of a previously valid e-mail address, as a withdrawal of your consent to receive electronic Communications. We will not impose any fee to process the withdrawal of your consent to receive electronic Communications; however, please see your specific account, product, or service agreement/disclosure for specific charges, fees, or consequences associated with that account or the withdrawal of consent to receive electronic Communications, disclosures, notices, statements, etc. Any withdrawal of your consent to receive electronic Communications will be effective only after we have a reasonable period of time to process your withdrawal.

How to Update Your Records

It is your responsibility to provide us with true, accurate, and complete e-mail address, contact, and other information related to the Disclosure and your Account(s), and to maintain and update promptly any changes in this information. You can update information (such as your e-mail address) through Internet Banking, by calling us at either 800-546-4392 or 507-454-8800, or by contacting us in person at any WNB location.

Hardware and Software Requirements

In order to access, view, and retain Communications that we make available to you, you must have:

• Sufficient electronic storage capacity on your computer’s hard drive or other data storage unit;
• An active e-mail address;
• The current and prior major releases of:
o Microsoft Internet Explorer IE
o Google Chrome
o Firefox
o Safari Apple/Mac Users only

When a new version is announced as Release to Web (RTW), support will cease on the third-oldest major version.

Please note that utilizing older browsers may result in disabled functionality or limited access to services.

• A connection to the Internet;
• A current version of a program that accurately reads and displays PDF files (such as Adobe Acrobat Reader);
• A computer, operating system, and telecommunications connections to the Internet capable of receiving, accessing, displaying, and either printing or storing Communications received from us in electronic form;
• A printer, if you wish to print out and retain records on paper; and
• Additional applications or software to access our electronic services if using a mobile or handheld device (see “WNB Mobile Banking” page on our website). .

Termination/Changes

We reserve the right, in our sole discretion, to discontinue the provision of your electronic Communications, or to terminate or change the terms and conditions on which we provide electronic Communications. We will provide you with notice of any such termination or change as required by law.

Consent

Please indicate your consent to use Electronic Services and Communications by clicking on the “I Agree” button below for Internet Banking Services. By providing your consent, you are also confirming that you have the hardware and software described above, that you are able to receive and review Electronic Records, and that you have an active email account. You are also confirming that you are authorized to, and do, consent on behalf of all the other account owners, signers, and others identified with your WNB products/accounts.
